Terms of Service

Effective date: September 29, 2026

These terms apply to services provided by Canonica Labs LLC ("we", "us") to our clients ("you"). They cover our 3D web application development, spatial data processing, 3D site visualization, and hosting and maintenance services.

Proposals and statements of work

Each project is described in a written proposal or statement of work (SOW) that sets out the scope, deliverables, milestones, timeline, and fees. Work begins once you approve the SOW in writing. If an SOW conflicts with these terms, the SOW takes precedence. Changes to scope are agreed in writing and may change the fee or timeline.

Fees and payment

• Fixed-price projects are billed by milestone, as set out in the SOW.
• Hourly work is billed monthly for the hours worked, at the rate in the SOW.
• Hosting and maintenance plans are billed monthly in advance.

All fees are in US dollars. Invoices are due within 15 days unless the SOW says otherwise. You can pay by ACH, wire transfer, or card. If an invoice is overdue, we may pause work until it is paid.

Review and acceptance

We share a staging link or files for each milestone. You have 5 business days to review a deliverable and tell us in writing about anything that does not meet the SOW. We fix those issues before the milestone is considered complete. If we receive no written feedback within that period, the milestone is treated as accepted.

Ownership

Once final payment is made, all project deliverables and source code created for you are transferred to you. We keep ownership of our general tools, libraries, and know-how, and you receive a perpetual license to use any of them that are included in your deliverables. Open-source components remain under their own licenses. We may describe the project in general terms in our portfolio only with your permission.

Your data and confidentiality

You confirm that you have the right to share any data you provide to us. We use your data and confidential information only for your project, and we delete or return it when the engagement ends. We are happy to sign an NDA on request. Our Privacy Policy explains how we handle information collected through this website.

Warranty

If a delivered item does not work as described in the SOW, tell us within 30 days of delivery and we will fix it at no additional cost. Apart from this, services are provided as described in the SOW, without other warranties. Third-party services such as map data providers, hosting platforms, and browsers are outside our control.

Limitation of liability

Our total liability for any claim relating to a project is limited to the fees you paid us for that project. Neither party is liable for indirect or consequential damages, such as lost profits or lost data.

Cancellation and refunds

Either party may end a project or plan by written notice. Refunds are handled as described in our Refund Policy.

Governing law

These terms are governed by the laws of the State of New Mexico, USA.

Changes

We may update these terms from time to time. The terms in effect when you sign an SOW apply to that project.
